OWNRYDE DRIVER MEMBERSHIP AGREEMENT

OwnRyde, Inc. — Private Membership Transportation Network
Version 1.0 — Effective January 2025

This Driver Membership Agreement (“Agreement”) sets forth the terms under which an individual (“Driver Member,” “Driver,” or “you”) may join the OwnRyde Private Membership Transportation Platform operated by OwnRyde, Inc. (“OwnRyde,” “we,” or “us”).

By applying to become a Driver Member, submitting required documents, or providing transportation arranged through the OwnRyde Platform, you agree to be bound by this Agreement.

OwnRyde is not a Transportation Network Company (TNC), taxi company, employer, or transportation provider. All Driver Members are independent contractor members and not employees.

1. Definitions

Platform – The OwnRyde app, website, and related technology.
Driver Member – A person accepted into the OwnRyde driver network.
Rider Member – A person approved to request rides.
Membership – Approval to access the Platform.
Pre-Arranged Ride – A trip requested through the Platform.
Service – The connection of Rider Members with Driver Members.

2. Driver Membership Eligibility

To qualify for Driver Membership, you must:

  1. Be at least 21 years old

  2. Hold a valid U.S. driver’s license

  3. Pass a criminal background check

  4. Maintain a clean driving record (subject to review)

  5. Provide proof of:

    • Vehicle ownership or authorization

    • Vehicle registration

    • Insurance (commercial, livery, or rideshare-endorsed)

  6. Provide a safe, clean, and well-maintained vehicle

  7. Agree to all OwnRyde policies

  8. Complete Stripe payout onboarding

OwnRyde may approve or deny Driver Membership at its sole discretion.

3. Independent Contractor Status

Driver Members are independent contractors, not employees of OwnRyde.

This means:

  • You control your own schedule
  • You choose when to accept or decline rides
  • You provide and maintain your own vehicle
  • You pay for your own fuel, maintenance, and insurance
  • You are responsible for all taxes
  • You determine how to complete each trip safely

Nothing in this Agreement creates an employment, partnership, or agency relationship.

4. Membership Responsibilities

As a Driver Member, you agree to:

  • Maintain a safe, clean, and presentable vehicle
  • Use the Platform only for permitted purposes
  • Provide professional and courteous service
  • Follow all traffic and safety laws
  • Not discriminate against Rider Members
  • Never engage in abusive, threatening, or unsafe conduct
  • Keep all documents current and unexpired
  • Use only the approved vehicle on your account

5. Insurance Requirements

Driver Members must maintain valid insurance coverage, including one of the following:

  • Commercial Auto Insurance
  • Livery / For-Hire Coverage
  • Rideshare Endorsement (if permitted by insurer)

You agree to:

  • Upload your insurance card and full Declaration Page
  • Notify OwnRyde of any lapse, cancellation, or change
  • Operate only while properly insured

OwnRyde does not provide insurance coverage.

6. Background Check & Screening

All Driver Members must pass a background check conducted by an approved third-party provider.

You authorize:

  • Identity verification
  • Criminal background checks
  • Driving record reviews
  • Periodic rechecks

Failure to pass screening may result in denial or termination of membership.

7. Vehicle Requirements

Vehicles must be:

  • Fifteen (15) years old or newer (or per local standards)
  • Clean and well-maintained
  • Free from significant damage or mechanical issues
  • Properly registered
  • Properly insured
  • Equipped with functioning safety features

OwnRyde may request vehicle photos or inspections at any time.

8. Use of the Platform

You agree to:

  • Accept or decline ride requests at your discretion
  • Not solicit riders outside the Platform
  • Not complete rides off-platform
  • Not allow others to use your account
  • Not use the Platform for unlawful purposes

Violations may result in suspension or termination.

9. Payments & Payouts

As a Driver Member, you will receive:

  • A percentage of each fare (clearly displayed in the app)
  • Payouts through Stripe Connect
  • Earnings based on distance, time, and applicable fees

OwnRyde may:

  • Adjust pricing structures
  • Offer promotional bonuses
  • Deduct charges for safety or policy violations
  • Withhold payouts related to fraud or disputes

All payouts are final once disbursed.

10. Safety & Conduct

Driver Members must:

  • Drive sober and drug-free
  • Never carry or use weapons
  • Follow all traffic laws and speed limits
  • Maintain safe driving practices
  • Treat Rider Members respectfully
  • Avoid inappropriate conversations
  • Follow pickup and drop-off safety guidelines
  • Use seatbelts, signals, and headlights at all times

OwnRyde may suspend or remove Driver Members for:

  • Unsafe driving
  • Harassment or misconduct
  • Rider complaints
  • Illegal activity
  • Failure to maintain insurance
  • Failure to pass required rechecks

11. Reporting Obligations

Driver Members must immediately report to OwnRyde:

  • Accidents during a ride
  • Insurance cancellation or changes
  • Vehicle changes
  • Criminal charges
  • Account security issues

Failure to report may result in termination.

12. Fees, Deductions, and Refunds

OwnRyde may deduct:

  • Booking fees
  • Platform fees
  • Cleaning or damage fees
  • Regulatory or compliance fees (if applicable)

Driver Members acknowledge that:

  • Fees are transparent
  • Fares are final once paid
  • Rider refunds may result in payout adjustments

13. Indemnification

You agree to indemnify and hold OwnRyde harmless from any:

  • Claims
  • Damages
  • Losses
  • Lawsuits
  • Injuries
  • Property damage

Arising from your:

  • Driving activities
  • Vehicle condition
  • Insurance deficiencies
  • Misconduct
  • Failure to comply with laws or policies

14. Limitation of Liability

OwnRyde is not liable for:

  • Accidents or injuries
  • Losses or property damage
  • Criminal behavior
  • Rider misconduct
  • Incidents occurring during rides

Your sole remedy is termination of membership.

15. Termination

OwnRyde may suspend or terminate Driver Membership:

  • At its sole discretion
  • For safety violations
  • For expired or invalid insurance
  • For background check failures
  • For fraudulent activity
  • For violation of this Agreement

You may terminate your membership at any time by closing your account.

16. Arbitration Agreement

All disputes arising under this Agreement shall be resolved through binding arbitration in the State of Oregon.

Class actions or group claims are not permitted.

17. Policy Updates

OwnRyde may update this Agreement at any time. Continued use of the Platform constitutes acceptance of updated terms.

18. Acceptance of Agreement

By becoming a Driver Member, you acknowledge that:

  • You have read this Agreement
  • You understand its terms
  • You accept all conditions
  • You join OwnRyde as an independent contractor member
