1. Introduction

This Rider Membership Agreement (“Agreement”) governs your membership with OwnRyde, Inc. (“OwnRyde,” “we,” “our,” or “us”), a Private Membership Transportation Platform that facilitates pre-arranged rides between approved Members and independent Driver Members.

By creating an account, accessing the OwnRyde App, or using any OwnRyde services, you (“Rider Member,” “Member,” or “you”) agree to be bound by this Agreement.

OwnRyde is not a public transportation provider, taxicab company, limousine service, or Transportation Network Company (TNC). Access to the Platform is restricted exclusively to approved Members only.

2. Definitions

Platform – The OwnRyde app, website, and related technologies.
Rider Member – A person approved by OwnRyde to request rides.
Driver Member – An independent contractor approved to provide rides.
Membership – Permission to access the Platform after approval.
Pre-Arranged Ride – A ride requested through the Platform by a Member.
Services – The Platform functions enabling Riders to connect with Drivers.

3. Membership Eligibility

To become a Rider Member, you must:

1. Be at least 18 years old
2. Have a valid phone number and payment method
3. Complete identity verification
4. Agree to all OwnRyde policies
5. Not have been previously suspended or removed
6. Not engage in harmful or dangerous behavior

OwnRyde reserves the right to deny or revoke membership at its sole discretion.

4. Nature of the Platform

OwnRyde:

• Does not provide transportation services
• Does not employ drivers
• Does not own or operate vehicles
• Provides technology to connect Members with Driver Members

All transportation services are provided by independent Driver Members operating under their own:

• Insurance
• Driver’s license
• Vehicle registration
• Legal and regulatory compliance obligations

5. Member Conduct

You agree to:

• Treat Driver Members respectfully
• Maintain safe and appropriate behavior
• Not damage vehicles
• Follow all safety instructions
• Not use the Platform for illegal purposes
• Not request rides for unapproved individuals
• Not bring weapons, drugs, or dangerous items

Violations may result in suspension or termination of membership.

6. Payment & Fees

By using the Platform, you authorize:

• Automatic payment for all rides
• Charges for tolls, fees, or cleaning (if applicable)
• Cancellation fees when policies are violated

All payments made by Rider Members are final and non-refundable.

7. Safety

You acknowledge and agree that:

• OwnRyde verifies Driver Members through background checks, documentation review, and insurance verification
• OwnRyde cannot guarantee the actions or conduct of Driver Members
• You use the Platform and services at your own risk

Emergency features and reporting systems are provided for Member safety.

8. Insurance & Liability

All transportation services are performed by Driver Members who maintain their own insurance coverage, including:

• Commercial auto insurance
• Livery or for-hire insurance
• Rideshare insurance endorsements

OwnRyde does not provide insurance coverage to Rider Members.

9. Limitation of Liability

To the maximum extent permitted by law:

• OwnRyde is not liable for injuries, damages, losses, or incidents arising from rides
• Rider Members waive any claims against OwnRyde
• Rider Members agree to hold OwnRyde harmless from Driver Member conduct

Your sole remedy is termination of membership.

10. Indemnification

You agree to indemnify, defend, and hold harmless OwnRyde from any:

• Claims
• Damages
• Legal fees
• Disputes

Arising from your conduct or misuse of the Platform.

11. Arbitration Agreement

All disputes arising under this Agreement shall be resolved exclusively through binding arbitration in the State of Oregon.

Class actions or collective claims are not permitted.

12. Membership Termination

OwnRyde may suspend or terminate membership for:

• Unsafe behavior
• Fraudulent activity
• Payment issues
• Harassment
• Violation of any policy or Agreement term

Rider Members may terminate their membership at any time.

13. Privacy

All personal data is handled in accordance with the OwnRyde Privacy Policy.

14. Amendments

OwnRyde reserves the right to update or modify this Agreement at any time. Continued use of the Platform constitutes acceptance of the updated terms.

15. Acceptance

By creating an account, you acknowledge that:

• You have read this Agreement
• You understand the terms
• You agree to all conditions
• You voluntarily join OwnRyde as a Rider Member
